SoA Annual General Meeting 2020

As the health crisis progresses, and the Government introduces more stringent national and localised rules, we have reviewed our planned ‘hybrid’ event – which would have been a combination of online and limited in-person. The Government has amended the Corporate Insolvency and Governance Act 2020, enabling companies and certain other qualifying bodies (including English/Welsh CIOs) to hold online AGMs until 30 December 2020.

To put the safety of SoA staff and members first, the Management Committee has voted to hold the 2020 AGM online. The date and time are unchanged. The meeting will take place on Thursday 19 November 2020 at 5pm.

We will send you full instructions on how to participate in advance of the date.

Your vote and participation remain important to us. You are encouraged to participate in the meeting online, or appoint a proxy, and register a voting instruction in advance of the AGM.

At the AGM, the resolutions will be put to a vote on a poll, rather than on a show of hands. As part of the electronic participation in the AGM, members will have access to the full meeting, including responses to questions submitted in advance.


The Society of Authors Annual General Meeting starts at 5pm GMT.

The AGM is open to Members and Associates of the SoA only.  Only Full Members have voting rights and can propose resolutions.

A. An introduction by Joanne Harris, Chair of the Management Committee

  • the SoA’s A Year in Review video
  • a report on SoA’s activities during 2020

B. Report of elections to the Management Committee

C. To consider and, if thought fit, to pass the following Resolutions:  

  • Resolution 1: proposed by the Management Committee
    that the minutes of the meeting held on 21 November 2019 be approved.
  • Resolution 2: proposed by the Management Committee
    that the Company’s annual report and accounts for 2019 be approved.
  • Resolution 3: proposed by the Management Committee
    That the Standing Orders of the Byelaws of the Society of Authors be amended by the following addition:

    That the SoA’s Management Committee may resolve to enable persons entitled to attend and participate in a meeting of Members to do so by simultaneous attendance and participation by means of electronic facility or facilities, and may determine the means, or all different means, of attendance and participation used in relation to the Members’ meeting. The Members present in person or by proxy by means of an electronic facility or facilities (as so determined by the Management Committee) shall be counted in the quorum for, and be entitled to participate in, the meeting in question. That meeting shall be duly constituted and its proceedings valid if the Management Committee is satisfied that adequate facilities are available throughout the meeting to ensure that members attending the meeting by all means (including the means of an electronic facility or facilities) are able to:

    (a) participate in the business for which the meeting has been convened;
    (b) hear all persons who speak at the meeting; and
    (c) be heard by all other persons attending and participating in the meeting.

D. Any resolutions proposed by members.

Ten or more Members may by request to the SoA propose resolutions to be raised at the general meeting provided that the     request has been received by the SoA at least one month before the date of the meeting (by 19 October 2020). Such requests should be in writing and include the text of any resolution which is to be moved.

E. Any other business authorised by the Chair.

Members may appoint proxies to vote at the meeting. Proxy forms are available from the SoA on request.

The AGM is free to attend but you must register in advance. We will only send out registration instructions and access passwords to registered SoA Members.
